According to reports in The Sunday Times, Hutton Collins has been working on takeover plans for several weeks and earlier this month Carluccio's confirmed an approach had been made.
Hutton Collins has previously backed Pizza Express and fish restaurants Loch Fyne.
The company was floated on the stock exchange in 2005, which allowed Antonio Carluccio and his wife to sell their share for around £11 million.
On Friday shares in the restaurant share closed at 97p.
